Late Invoice & Payment Policy 

1. Payment Terms

All invoices are due in full within 30 days of the invoice date. No extensions, offsets, or partial payments are permitted unless approved in writing prior to the due date.

2. Past-Due Status

An invoice becomes past due immediately after the stated due date. Failure to pay by the due date constitutes a material breach of agreement.

3. Late Fees & Interest

  • Past-due invoices will automatically accrue interest at 8% per month (or the maximum rate allowed by law), compounded monthly.
  • Late fees apply without notice and are added to the outstanding balance until paid in full.

4. Payment Processing Delay for Late Invoices

  • Any invoice paid after the due date may require up to thirty (30) days to process and clear, regardless of the payment method used.
  • Any invoice not issued on the date required under the agreement shall be issued within thirty (30) days thereafter.
  • Expedited processing of late payments will not be provided under any circumstances.
  • Processing delays do not suspend late fees, interest, service suspension, or other enforcement actions.

5. Payment Reminders

Payment reminders are a courtesy only. We are not obligated to provide reminders before enforcing late fees, suspending services, or pursuing collections.

6. Suspension & Termination of Services

  • Services will be immediately suspended for any invoice more than 60 days past due.
  • We reserve the right to terminate services or contracts for invoices unpaid after 30 days, without liability.

7. Collections & Legal Action

  • Invoices unpaid after 90 days may be referred to a collection agency or legal counsel without further notice.
  • The client is responsible for all costs of collection, including legal fees, court costs, and collection agency fees.

8. Disputed Invoices

  • Any disputes must be submitted in writing within [X] days of the invoice date.
  • Failure to dispute within this period constitutes full acceptance of the invoice.
  • Disputes do not suspend payment obligations for undisputed amounts.

9. No Withholding of Payment

Clients may not withhold payment for any reason, including pending approvals, internal processes, or third-party delays.

10. Reinstatement of Services

Suspended services will resume only after full payment of all outstanding balances, including accrued fees and interest, and completion of the late-payment processing period.

11. Governing Law

This policy is governed by the laws of uk legislation

By receiving services or accepting an invoice, the client irrevocably agrees to these terms.
